Tho decision there was based largely on the ground that tho law is In violation of Interstate commerce rules In that It prevents tho sulo of bonds of outside Investment companies in Michigan. Tho court defines bonds as articles of commerce. Tho law In Mich igan also undertakes to regulate the Issuo of stook and prevent such sales when the railway commission decides that a com pany Is unreliable and unsound. Tho three Judges who gave a utiantmouri decision In the Michigan caso also pointed out that the restraint of interstate com merce is complete in tho blue sky law as It stands, since It provides that a non resident may not sell bonds of another state, however good they may bo, for thjrty days nfler offering them. ivo ' tine if l nut per. It requires that with tho application for a permit tho corporation, person or firm shall file an Itemized statement of financial condition and other Informa tion. ' If the company offering stocks or bonds In this sta'to shall not have been In op eration more than six months the ap plication for permit shall so Indicate on Its faco. If tho agent Is to be paid more than 15 per cent commission for selling tho securities stfch, fact shall be set forth on tho face of tho permit Every company outside of the state on applying for permission to sell securi ties in this state must file a copy of the laws under which It Is organised, in Its home state.
