ture, commonly ' known as "Governor
Hushes' public utilities bill," Is the last
word of a law-making- body on the regu
lation and supervision or railroads, street
railways, gas and electric light companies
and oil pipe lines. It was drafted and In
troduced at the Instance of Governor
Hughes and Is regarded as the moat com
plete enactment for the control of publlo
service corporations ever proposed In an
American state. The complete bill covered
seventy-four closely printed pagea, juid was
passed substantially as Introduced. The
following aummary of the measure Is
taken from Van Norden's magaslne:
The present State Board of Railway Com
mlaslonera, which has had control of steam
and electrified railways and local traction
concerns, la legislate out of existence,
along with the Rapid Transit commission
of New Tork City, which has supervised
the building of subways, the State Com
mission of Oaa and Electricity, the
various local Inspectors of gas meters and
their deputies. The different powers and
duties of these, commissions and officers
are devolved upon two state commissions
to be called Publlo Service commissions,
one to have Jurisdiction In the First pub
llo service district, a territory whose
boundaries very nearly coincide with those
of Greater New Tork City; the other In
the Second publlo service district, which
Includes the rest of the state.

These commissions are given Jurisdic
tion over the service by common carriers,
including all manner of railway and trac
tion systems, either for passengers or
freight, their tunnels, bridges, ferries and
appurtenances, pipe lines for oil and gas
(but not water), and over gas and electric
plants, the authority extending to the cor
porations, companies, partnerships, indi
viduals, even trustees and receivers con
ducting the business. Generally, either
- commission has authority over publlo ser
vice corporations and utilities wholly
within their districts, but the powers and
duties of the Rapid Transit commission
of Nsw Tork City devolve specifically upon
the commission of the First district, and

commission devolve, takes jurisdiction over
all railways that are not street or trac
tion roads when they extend Into New Tork
City from the Second district.
Each of the two commissions is to con
sist of five members, with salaries of $10,000
apiece, appointed by the governor "by
and with the advlcs and consent o'f ths
senate" and removable by the governor,
who must file with the secretary of state
and report to the next session of the leg
Islsture his reasons for removal. The
commissioners appointed lster on will hold
office for terms of five years unless re
moved, one retiring every year, but the

retires successively on February 1 of

the employes of the commission he repre

hattan, New' Tork City, that of the Sec
ond district In Albany,
No person msy be a commissioner or
In the employ of ths commission who holds
any official relation to any of the corpora
tions subject to ths provisions of the act,
or who owns stock or bonds of ths con
cerns. Commissioners and all others con
nected with them are forbidden to "solicit,
suggest, request or recommend" the ap
pointment of any person to any position
In ths public, service corporations, and the
corporations and all their officers or em
ployee are forbidden to offer gifts, gratui
ties, free fare or freights, or any favors
not open to the general publlo, to any
one connected with ths commissions. In
order to make this even more stringent,
every man connected with the commissions
In any capacity Is declared to be a "public
officer" within the meaning of the state
constitution, which has prohibitions and
penalties of ths same nature.

The commissions are given full powers In
the making of Investigations. Any single
commissioner or the secretary may bs em
powered to hold a hearing anywhere In the
state, and where ths board has approved.
reports of such hearings sre held to be
those of ths commissions. To these hear
ings witnesses may be summoned by sub
poena served by any person of full age.
Witnesses who disregard subpoenas or re
fuse to testify or to produce books or pa
pers, shall be guilty of misdemeanor aod
prosecuted in criminal courts. Attendance
of witnesses msy bs compelled by attach
ment of the person.
Hearings shsll be governed by rules
adoptsd by ths Commissions, and shsll not
be bound by the technical rulea of evidence.

Thirty-five pages of the act are devoted
to the definition of Illegal acts, such as dis
crimination, rebating, etc., by the rail
roads, providing for interchange of traffic,
regulation of rates and giving the commis
sions power to enforce ths previsions.
Adeqaate Service.
Railroads, traction lines and common car
ders must furntsh adequate service and
facilities tor the transportation of pas
sengers and property, and all charges made
and demanded must , be "just and reason
able and not more than allowed by law or
by order of the commission having juris
diction. Every unreasonable charge
is prohibited."
"A railroad corporation, (upon ths appli
cation of any corporation or person own
ing, operating or controlling any lateral
line of railroad, shsll construct, maintain
and operate upon reasonable terms a switch
connection or connections and upon
ths application of any shipper shall pro
vide sidetrack" wherever reasonably prac
ticable and safs. Upon complaint of failure
to do this a commission Investigates snd
may order the connection or sidetrack built,
specifying a reasonable compensation there
for. Common carriers must file with the com
mission having jurisdiction, and must print
tn large type and keep posted In two con
spicuous placea In every one of their depots.

Sworn copies of all contracts and agree
ments between common carriers regarding
transportation must bs filed with the com
missions. Unjust discrimination In the way of spe
cial ratea, rebates, drswbacks or other de
vice or method are forbidden by the law.
Preference or advantage to corporations.

others or any particular description of traf

Mileage, excursion and commutation tickets
are not forbidden, but schedules of these
must be filed and published.
Free transportation for passengers or
freight by means of false billing or the
like la expressly forbidden, and corpora
tions or persons are forbidden to seek to
obtain such transportation.
Discrimination upon the part of one rail
way between connecting lines of other com
panies Is declared Illegal. All common car
riers are required to afford all reasonable,
proper and equal facilities tor the Inter
change of passengers and freight between
their lines and others, and there shall be
no discrimination either In fares or service
between the connecting lines. While the
section Is not to be construed as compelling
a common carrier to permit another to use
Its tracks or terminal facilities except on
order from the commission, every common
carrier Is required to receive from every
other common carrier, at a connecting point
loaded freight cars and haul the ssme
through to destination or to the connecting
point of another common carrier, as the car
la billed, long and short haul discrimina
tion' Is made illegal.
First Come. First Served.
Railways are required, on reasonable
notice, to furnish cars and to have on hand
sufficient cars and engines to meet all re
quirements that may reasonably be antici
pated. In case of car shortage the cars
must be furnished "first come, first
served," excepting that preference may be
given for live stock snd for perishable
freight. , The commissions are given power
to order cars and to make regulation for
the distribution of cars, as well as to fix
demurrage charges.
Common carriers must give receipt or
way bills to all shippers. No contract,
stipulation or clause on' any way bill shall
exempt any railway- from liability for loss
to shippers occasioned by delays or for
negligence while In transit, and the new
law puts upon the railroads In suits over
such cases ths burden of proof that delays
are not due to negligence.
Carriers are liable for loss of baggage,
but may make a reasonable charge for
liability In excess of 1160 and for ths csr
rtage of more than 150 pounds of baggage
on a aingle ticket. Remeillessnd rights of
action under existing laws are, conserved.

No person or corporstion may exercise
railway franchise privileges till permission
of the commission or commissions Is ob
tained. "No franchise nor any right to, or
under, any franchise to own or operate a
railroad or street railroad shall be assigned,
transferred or leased, nor shall any con
tract or agreement with reference to or
affecting any such franchise or right be
valid or of any force or effect whatsoever
unless the same shall have been apprajved
by the proper commission. '
Stock lasses and Ownership.
"No railroad, corporation or street rail
road corporation, domestic or foreign, shall
hereafter purchase or acquire, take or hold
any part of the capital stock of any rail
road corporation or street railroad corpora
tion organized under or by virtue of the
laws of this state unless authorised so to
do by the commission empowered by this
act to give such consent; and save where
stock shall be transferred or held for the
purpose of collateral security only with the
oonsent .of the commission empowered by
the act to give such consent, no stock
corporation of any description domestic or
foreign, shall purchase or acquire, take or
hold, more than 10 per centum of the total
capital stock Issued by any railroad cor
poration or street railroad corporation or
existing under or by virtue of the laws of
this state. Nothing herein contained shall
be construed to prevent ths holding of
stock heretofore lawfully acquired. Every
contract, assignment, transfer or any stock
by or through any person or corporation,
In violation of any provision of this set,
shall be void and of no effect, and no
such trsnsfer or asslgnmert shall be made
upon the books of sny such railroad cor
poration or street railroad corporation, or
shsll be recognised as effective for any
purpose."
Reasonable Rates.
Whenever e'ther commission decides,
after due Investigation and public hearing,
that rates or fares are unjust, unreason
able, unjustly discriminating or preferential
or otherwise In violation of the law as pre
viously slated. It shall determine a Jut
and reasonable maximum rate or fare.
Likewise ( when a commission determines
that the regulations, practices, equlpmvnt
or appliances of any railway, either steam
or street. In respect to trsnsportatlon of
persons or property are unsafe, unjust,
Improper or Insdequate It shall determine
upon the proper conditions and enforcs
them by order, which the oorporstlons
must obey. The commission Is given power
to require two or more railways wlus
lines form a continuous line of trsnsporta
tlon or could be made to do so by short
connections, to establish through fares and
charges tor passengers and freight any
where within the state. ,

personally or by mail upon the proper
officers of the tympanies and the latter
must forthwith acknowledge the receipt
of the order. Not only, that, the corpora
tion must within twenty dsys notify the
commission whether or not It accepts and
will obey the order. Provision for testing
the legality of the acts and the constitu
tionality of the law under which they are
done is made.

even the commission may not authorise the
capitalisation of a franchise In excess of
the amount actually paid to the state or a

ital stock of a corporation formed by the
consolidation of two or more other such
corporations exceed the sum of the capital
stock of the merged companies at the par
value No leases or contracts for consoli
dation may be capitalised, nor may bond
be issued against the contracts.

pay the expense, which is to be a uniform
and reasonable charge.
The commission must Investigate upon the
complaint of a mayor, village trustee or
town board, or upon the signed request of
100 consumers In a city of the first or sec
ond class, fifty In a third clssa city or
twenty-five elsewhere, the quality of gas or
electricity or the reaaonableness of charges.
The commission has power to fix a reason
able price. In case a gas or electric com
pany sues for payment of a bill It may not
recover if the defendant shows that a pries
has been demanded In excess of the legtil
rate.
The law Is drastic In regard to the viola
tion of law or failure to obey the commis
sions' orders by the public service corpora
