An ordinance granting the Gate City Tele
phone Company, referred to as grantee,
the right, franchise and privilege to use
the streets and alleys of the city of
Omaha for the construction, maintenance
and operation pf a telephone system, snd
for the prosecution of the telephone busi
ness In the city of Omaha, regulating
the exercise of such rights, providing for
the protection of the property so em
ployed, and for submitting ihe proposition
to make such grant to the ejectors f
the city.
Be It Ordained by th City Counoil of tb
City of Omaha:
Beotlon 1. That the light, franchise and
privilege be and the same is hereby granted
to the Oate City Telephone company for
a period of twenty-five years, to con
struct, maintain and operate a telephone
system In the streets end alley of the
city of Omaha for th prosecution of the
telephone business In said city; to erect
and maintain pole and overhead wire
and all other necessary and convenient
structures and equipment In all such
streets and alley or part thereof not
now or hereafter embraced, by ordinance.
In any district wherein such wires are
required to be placed under the aurface of
the atreets and alley; to construct, main
tain and operate In the streets and alleys
of the city subway for carrying wire
underground. Including sit necessary man
holes, and to make all necessary excava
tion therefor, and to establish and main
tain exchange and toll atallon and to
make all necessary connections with sub
scribers' stations.
Section 2. All such line or lines of wires
or other electrical conductor ahall be
placed underground In that portion ef the
city within a radius of on and one-half
mile from th city hall. nd the snld
J;rantee may, outside of the district above
ndicated, erect and maintain a system
of conduits, poles snd wires for such trans
mBlon ef sound, signals snd Intelligence
In the streets, svenues and alleys of the
aid city of Omaha, and over buildings,
with the consent of the owner thereof, and

requirements of this ordinance; In the con.
tructlon, maintenance and repairing ot Its
telephone exchange, and in the use of the
streets, alleys and avenues of said city,

to and comply with all ordinances, rules
and regulations of the said city covering

annual rental of not to exceed twenty-five

phone, provided, however, that any time
during which said grantee shall be re
strained or enjoined from proceeding with
the, construction of said work, or use of any
part thereof, by proceedings In any court,
shall not he computed as a part of the time

ceeding. The City of Omaha shall hare

the construction or operation of such tele
phone system and move for a dissolution
of any Injunction or restraining order and
for any other proper order In such suit, la
case It ahsll deem such collusive or Insti
tuted for the purpose of delay.
Section . U shall be the duty of said
granteo, subject to the terms and pro
Visions of this ordinance, to connect his
line or lines with all telephone com
panies known aa "Independent" com
panies, who shall extend their standard
copper lines to the limits of the City of
Omaha, and demand such connection, to
furnish to such connection to said com
panies on reasonable terms which shall in
no case exceed the prices and rates oi
chsrges of any other "Independent" com-
gany operating In any city of the Unlte
tate of 200.000 population and upward, t
furnish to the subscribers of ssld grantet
at all stations within the City of Omahs
the free use of his long distance service tc
the said city limits, and In no event t
charge his said ubcrlbers beyond tht
rates or tolls In excess of the rates or tolh
charged by an Indenpendent system glvlnf
like service for like distance.
Section 7. The franchise shall be null ani
Void and all rights herein granted ceaat
and determine If the said grantee shall
without just cause, for a period of mori
than sixty (GO) days fall and neglect to con
nect Its line wltn those of any other firm
or corporation operating standard coppeu
"Independent" toll line or "Independent
telephone exchanges, as aforesaid, or II
said grantee shall without just cause sever
sny conneetlon with such outside company,
and shall, after demand made, without just
cause, for a period of sixty (60) days, neg
lect or refuse to furnish such outside "In
dependent" long distance exchange th fa
cilities of its tines In said city.
Section 2. In case the grantee herein
hall at any time sell to or consolidate with
any company, trust or corporation now of
hereafter engaged In the telephone business
In thl city, all privileges hereby granted
hall be null and void unless the Mayor
and City Council consent thereto and th
company, corporation or person purchasing,
hall In all respects oomply with the pro
vision of this ordinance regarding th4
whole of It properties and possessions, and
It rights and duties hereunder.
Section I. The said grantee shall at an
times protect snd save harmless the said
City of Omaha from all damage and loss
from, or arising out of. or reason of th
construction or operation of, said telephone
system, or by reason of any Infringement
of any patent upon any article or system
used in the construction of said telephone
j and conduit system, or from any damagf
arising rrom claims oy reason or me np
llgence cf said grantee, Ms servants or em.
ployes. whether In the construction, use or
operstlon of ssld system or any part
thereof, and ld grantee hereby sres to
render to hi patron at all time such serv.

Section 10. Within sixty (0) days from snd
after the passsge and approval of this ordi
nance the said grantee shall file with the
cltv clerk of the city of Omaha his written
acceptance of the provisions hereof. In
case of a failure to file said acceptance
within the time peclflnd this ordinance
hall become null and void The said
grantee shall also, within said sixty (60)
days, execute and deliver to th city of ? k
Omaha and file with the city clerk thereof
a bond with good and sufficient sureties In
the sum of twenty-five thousand dollars
(126.0004. to be approved as to form and
execution by the city attorney of the city
of Omaha, which bond shall run to the
city of Omaha for the benefit of all person
whomsoever, the same being conditioned
that the grantee will pay all damages
which may In any manner arise to the cltv
of Omtha or any person whomsoever on
account of the violation of any of the pro
visions of this nrdlnenre; and such pond
hall remain In full foree and effect until
ona year after said telephone exchange Is
completed and has at least five thousand

Section 11." The city shall have the right
to purchase the property of the telephone
rompanv at any time after IS yara. If
the option Is exerrlsed at the end of
years or any time thereafter, the city shell
pay for the value of the physical nroperty
