there would not bo five hundred visitors at

world , coupled with the s'atement that all
danger from yellow fever had thus been
removed from the coast , Biloxl and all the

PHILADELPHIA , Dec. 27. The referees
fioected ! to formulate a plan of settlement
of the affairs of tlic Chestnut Street National
bank and the ChcBtaut Street Trust anil
Savings company , of which \V. M. Slngcrly ,
proprietor of the Kcconl , was president , and
which clccoil their doors ket ThureJay , tonight -
night presented that plan or the consid
eration of the depositors and creditors.
The chief measure suggested Is the Issu
ance ol llecord stock tp secure the creditors
The plan Is prefaced by a statement "that
It must be clear to all concerned that In no
came can the creditors of the hank , of the
trust comnanr. of the twin and paper com
pany and of Mr. Slngcrly himself , realize
more than the total value of the assets and
rights of thcso corporations In addition to
thoao of Mr. Slngerly Individually. No mat
ter how protracted or expensive possible as
signments and receiverships may be made ,
the creditors cannot receive more than the
total of all asset ? , lota the cost and expenses
which will be Incidental1 to their .ulmlnls-
tratlcn. under what will be the most ex
pensive form of such administration. The
fact , however , that at first sight Is not so
obvious , though It more and more Impresses
Itself on us. Is that owing to the peculiar
nature of the properties to be handled i
lack of good judgment In their manngcmen
will result In the receipt by the creditors
of less than the present , nnd of propahlj
much more than the ultlmiitc value thereof
SINOEHLY STAYS WITH TI1C RECORD
"It Is 'believedthat IfMr , Slngcrly wll
continue to give his entire attention to the
developments of his paper , the poculln
qualifications which enabled him to > butU
upa property earning , It Is stated , In 1S90
$310.000 net , and canning also , It Is said
In the last seven years an average annua
net Income of $2-13,000 , will cnablo him Jo
da what not merely will he Impossible undo
changed conditions namely to maintain th
present vnluo of the property , but also to
Increase It ,
"This 'plan ' will , of course , be greatly nlde <
by Mr. Slngerly's Insistence that everything
possessed , orcontrolled by hlui shall bo
promptly , without legal contest , transferred
taIho managers to be applied to the a'oov
purpose. "
The plan Is that 'the capital stock of th
Record Publishing company , or a company
o which Us assets shall bo assigned , shal
bo fixed and Issued to an amount neccssar
to give all creditors In class A par for the ?
claims In a stock preferred as to dividends
the principal of which , shall bear G per cen
interest cumulative ; to all creditors In clas
D par for their claims In a second proferrcc
G per cent cumulative stock , also ipreferrct
after the flrst preferred stock as to dlv
dends and principal ; and all creditors I ;
class C oar In the common stock of sal
company. No Incumbranco against the Hoc
ord Publishing company's property Is to bo
created without the assent of the holders of
twr-thtrda of the preferred stock of the two
classes.
CLASSIFYING THE DHEDITORS.
Class A shall consist of assenting credit
ors to the extent to which they may hold ,
liens against the Record Publishing com
pany or preferred or city1 claims against the
bank or trust company , or persons or cor
porations willing to advance new moneys to
be applied at the best discretion of the man
agers In the furthering and bringing about
this reorganization.
Class D shall consist of holders of claims
against the Record or of claims secured by
Us stock. In case of any doubt as to the
amount of actual existing claims as being
valid against the Record the managers may
finally scttlo the amount and status of such
claims without liability to themselves ; or If
their decision bo adverse to them as In favor
of the Record company , the holder thereof
may Insist on a judicial decision of hid
status.
Class C shall consist of all creditors other
than those above specified , of any of the
parties a reorganization of whose affairs Is
now contemplated , or may become neces
sary to the success of this plan.
A note Is here Inserted that there now
exists $1,000,000 of common stock of the
Record Publishing company , subject to the
prior Hen of $700,000 In mortgages. After a
full examination of the property It Is rec
ommended to a syndicate recently formed
that this stock Issue bo increased by the
Issuance of $2,000,000 ot preferred stock ,
making the total $3,000,000 , the $700,000 of
mortgages being Intended to be paid out of
the proceeds secured from such new Issues.
STOCK QUICKLY SUBSCRIBED.
Under these conditions the $2,000,000 In
preferred ptock at par were oversubscribed
by the capitalists and banking Interests of
Philadelphia. The managers ot the plan
are to mane uismouuuii 01 uio BIOBK wiuun
thirty days often the assets have bsen re
celved tu make the plan operative. In ex
change Cor ( stock the claims are to be turned
over to the managers , and the stock U to b3
subject to redemption by Mr. Slngcrly within
six years upon payment of Its par value
with C per cent Interest , less dividends
meanwhile declarJd. Any assets obtained
by the managers from those having c''alms
against ths bank In the distribution of the
assets , shall bo applied pro rata to the jmr-
chase at par of the Record aiock held by iho
now holders of claims or their assignees ; or.
If the managers shall think it advisable , to
the liquidation of tbo bank itself , at their
option.
The same method Is to bo osed with regard
to the trust company , Mr. Smgcrly Is to
deed to the managers all of his other property -
erty and cslato to further liquidation , they
to have the fullest possible discretion , and
without personal liability , although they will
act under advice of counsel.
Six per cent dividends per annum are to
bo paid so far as possible on the common
stock and no net earnings of the Record
shall be devoted to the redemption of the
stock until these bonds halve been paid.
When redemption. Is made It shall be pro
rata among the holders of each particular
series.
series.WILL
WILL DIRECT RECORD POLICY.
Mr. Slngerly will remain the editor of the
Record and'shall conduct Its policy , hut Its
business management shall bo controlled by
a board of which the managers may be
members , to bs elected by a voting trust ,
which shall consist of the managers and
Mr. Sydney Tyler , president of the Fourth ,
Street National bank.
The plan Is submitted for the cr-proval of
the creditors , The document was agreed upcu
after ca all-day conference between Assign
ees Qeqrso II , Earle , jr. , end Richard Y ,
Cook ; their attorney , John O , Johnson ; How
ard Gendell , Mr. Slngerly's attorney , and
Director Loeb of the finance committee. It
was afterwards read by Deputy Comptroller
of the Currency George M. CoOln.
A local nowii bureau agent sent out tbu

which Is pledged with the trust company for

"Tho bssks of the Record Publishing com
pany show that the net earnings for the last
seven years averaged $240,000 per annum.
Mr. Slngerly's most tangible asset Is the
Record Publishing company , w'llch la valued
at probably from $2,600.000 to $3,000.000.
"Tho $450,000 noted In the schedule of lia
bilities represents money borrowed from the
