Cornell offers to sell lots nineteen (19) ( ) and twen ty (20) ( ) of block ten (10) ( ) with the building thereon , commonly known as the Cornell Hall , for two thous and ( § 2,000.00) ) dollars , we the un dersigned hereby associate our selves together , for the purpose of forming a corporation under the laws of Nebraska , to purchase said property , place the same in in repair , and conduct a public hall , by the adoption of the following : ARTICLES OF INCORPORATION Art. I. The name of the cor poration shall be Association. Art. II. The principal place of business shall be at Valentine , Cherry County , Nebraska. Art. III. The business of the association shall be the purchase and placing in repair the above described property , for the accom modation of public entertainments , such as shows , dances , political or other public gatherings , and for any or all legitimate uses common to public halls. The building may be so repaired as to be used only as a public hall , or may be so repaired as to pro vide office , store or other rooms , for rent , as may be deemed for the best interests by a majority of the Board of Directors , hereinafter provided. Art. IV. The association shall commence business on the day of lOOttand terminate on day of 19 , unless sooner terminated by three-fifths vote of all the shares , at a regular meeting. Art. V. The capital stock of association shall be live thousand ( $5,000) ) dollars , divided into shares of ten ( § 10) ) dollars each. The as- have tjie right to be- gin business when one-half or twenty-five ( S250Q ) hundred dollars lars , shall have been subscribed , and paid in.It shall at no time incur an indebtedness exceeding one-half the paid up capital stock. Art. VI. The affairs of the as sociation shall be conducted by a board of directors consisting of five (5) ( ) share holders , who shall be elected annually at the regular stockholder's meeting , or special meeting called for the purpose. Said directors shall meet immed iately on adjournment of the stock holder's meeting , and organize by electing from their number a presi dent , vice president , secretary and treasurer. Provided , one person may fill two offices if deemed for best interest of association , by said board of directors. The directors shall have entire charge of the af fairs of the association. Shall con tract , or otherwise employ the necessary labor for repair of said building. Lease the same by the year , or conduct the business of a public hall , fixing the terras of en tertainments of different kinds , and collecting for the same. The said board is hereby authorized to do any and all things necessary for the best interests of the associa tion. They shall also fill vacancies in said board between the annual meeting of stockholders. The board is also empowered to fix sal aries , if any , of the several officers. Art. VII. The annual meeting of the stockholders shall occur on the first of of each year , at an hour and place desig nated by the board of d/rectors , which shall give two weeks public notice. Special meetings shall be called on petition of two-fifths the stock in force , on giving two weeks notice , reasons to be stated in notice. Art. VIII. These articles may be amended at any regular , or special meeting called for the pur pose , upon three-fifths shares of all the stock present and voting.
