AFFAIRS OF CORPORATION.
HOW MANAGED. '
The managemtnt of this Corpora
tion shall be vested in a board of
not less than ten (10) directors,
from whom the stockholders ehajl
elect a President, Two Vice-Presi-dents,
a Corresponding Secretary, a
Financial Secretary and a Treasurer.
An Assistant Secretary, if needed,
shall be elected by the Board of
Directors who may be, but may not
be a member of the Board of Direc
tors. The Board of Directors shall
be empowered to fix the dues and
shall have the power to forfeit the
stock of each member for non-pay-ment
of dues. The following named
persons shall constitute the Board
of Directors and shall hold and ad
minister their respective offices
until the next annual Meeting of tttlä

Vacancies caused by resignation or
othervvise may be filled by the re
maining members of the Board at
any regulär or special Meeting
which, together with the Object
thereof. three davs notice in wnt-
ing has been delivered or mailed to
each member of the Board, but it
shall require noC less than five af
firmative votes to elect.
ANNUAL MEETINGS. '
The annual meetin? of this Cor
poration shall be held in the City of
Omaha, in tne county oi uougias
and the State of Nebraska on the
second Tuesday of December of each
year and special meetings may be
called by the Board of Directors as
may be neccessary for the .proper
government and Management of this
association.
DPVIDENDS.
This corporation not being or
ganized for prosit, no dividends shall
ever be declared on the stock issued.
The stock being issued to each mem
ber in order to show his affiliation
with this corporation.
BY-LAWS.
The stockholders shall adopt a set
of the usual By-laws.
These articles of Inkorporation
mav be amended at any regulär or
called Meeting of the stockholders,
representing two-thirds (2-3) of the
present voting for such amenriment,
provided at lea&t one week's notice
yf the proposed Meeting and anlend-
ments to be submitted has been
given.
