Amendments to Articles of Incorpor
ation of McGinnis Creamery
Company.
We, Robert McGinnis, President,
and J. A. Donohoe, Secretary
of the McGinnis Creamery Com
pany, a corporation, do hereby certify
that at a special meeting of the
stockholders of the McGinnis Cream
ery Company duly called by the presi
dent and duly held at its local office
in O’Neill, Nebraska, on the 12th day
of September, A. D. 1917, as per call
at which meeting there was repre
sented 499 shares of the capital stock
of said corporation, the following
among other proceedings were had
and done to-wit:
It was duly moved and seconded
that Article I, of the Articles of In
corporation of the McGinnis Creamery
Company be amended so'as to read as
follows:
“ARTICLE I.
The name of this corporation
shall be “McGinnis Creamery and
Produce Company.”
The roll being duly called by the
President resulted as follows: Aye,
499 shares of stock. Naye, None.
Thereupon the said motion and amend
ment was duly declared carried and
adopted.
Thereupon the following motion
was duly made and seconded to-wit:
That Article IV of the Articles of
Incorporation of the McGinnis Cream
ery Company be and the same are
hereby amended so as to read as
follows to-wit:
“ARTICLE IV.
The authorized capital stock
of this corporation shall be One
Hundred Thousand ($100,000.00)
Dollars, consisting of shares of
One Hundred ($100.00) Dollars
each. Said stock shall be issued
when authorized by the Board
of Directors of the corporation,
and only upon the payment in
full thereof. The stock shall be
transferrable upon the books of
the company, and each share
shall be entitled to one vote in
stockholder’s meeting by the
owner and holder thereof, or
by written proxy. The annual
meeting of tne stockholders shall
be held on the second Tuesday
in February of each year; and
special meetings of the stock
holders may be called at any
time by the President, or by a
majority of the members of the
Board of Directors, or by the
stockholders representing 20 per
cent of the total amount of the
stock outstanding. Special meet
ings shall be held only upon
written notice served upon each
stockholder personally, or by
notice directed to the stockholders
last known address, and served
, or mailed at least ten days be
fore the time of said meeting—
said notice to state the objects
and purposes of said meeting,
and no business shall be trans
acted except such as may be
covered in the notice required
for such meetings.”
The roll being duly called by the
President resulted as follows: Aye,
499 shares of stock. Nay, None.
Thereupon the said motion and
amendment was duly declared, carried
and adopted.

Donohoe, Secretary, have hereunto
subscribed our names this 12th day
of September, A. D. 1917, at O’Neill,
Nebraska, and have affixed the cor
porate seal of said corporation hereto.

NOTICE OF DISSOLUTION OF CO
PARTNERSHIP.
Notice is hereby given that the
undersigned, John L. Chmeler and Ben
J. Grady, being the entire individuals
composing the co-partenership carry
ing on trade and business under the
name of Chmeler & Grady have this
day dissolved the said co-partnership
by mutual consent and the said Grady
hereby retires from said firm and will
no longer be a member thereof. The
debts due to said co-partnership will
be payable to John L. Chmeler and he
will pay all debts of said firm. The
said Ben J. Grady will no longer be a
member of said co-partnership and is
retiring absolutely therefrom but the
business will be carried on under the
name of Chmeler & Grady, but said
business will be owned and carried on
entirely by the said John L. Chmeler
individually.
