At the annual meeting of the stock
holders of the Fidelity Bank of
O’Neill, Nebraska, held in their bank
ing room on May 5th, 1911, the follow
ing stock being represented: S. S.
Welpton, fifty shares; J. F. O’Donnell,
fifty shares, W. J. O’Connor, thirty
shares, Geo. H. Haase, twenty-five
shares, proxy, D. B. Welpton, twenty
five shares, proxy, and O. F. Blglin,
five shares. On motion Articles one,
six, seven, and eight were,amended to
read as follows:
ARTICLE i.
The name of m s corporation shall
be the NEBRASKA STATE BANK,
and its principal place of business
shall be the city of O’Neill, Holt
county, Nebraska.
ARTICLE VI.
This corporation shall be managed
by a board of five directors, who shall
elect from their own number a Pres
ident, Vice President and Cashier and
appoint such other employes as they
shall deem necessary, and define their
duties.
ARTICLE VII.
The annual meeting of the stock
holders of this corporation shall be
held on the second Tuesday in March
of each year at four o’clock p. in., at
the banking house in O’Neill, Neb
raska, at which the board of directors
shall be elected. The voting shall be
by shares, each share being entitled to
one vote which shall be cast by the
owner thereof or his proxy. The di
rectors shall hold their office for one
year or until their successors are elect
ed and qualified.
AKTICLE VIII.
At all meetings of the stockholders
of ttiis corporation, a majority of the
paid up capital stock, and at at all
directors’ meetings, a majority of the
board of direct' rs shall constitute a
quorum for the transaction of busi
ness, but by a majority vote of the
stock represented, or of the mem
bers of the bo>rd of directors present,
the stockholders’ or directors’ meet
ings may be adjourned from time to
time. Special meetings of the board
of directors may te called at any time
by tiie president, vice president or
cashier and special meetings of the
stockholders may be called at any
time on giving ten days written notice
to stockholders of record by the pres
ident, vice president, cashier or by
stockholders representing a majority
of the paid up capital stock. In event
of vacancy on the board of directors,
the remaining shall have the author

the new bridge when it shall be re
built on the present gite of the Par
shall bridge and not to locate a bridge
at any other site near said Parshail
bridge.
