bo kept in tho city ot North Platto, Ne
braska, and tho principal place for the
transaction of its business snail do in
Lincoln County, Nebraska.
III.
Tho term of the oxlstence of tills
association shall bo twenty (20) years,
Tho Capital stock of this associa
tion shall bo ono Thousand Dollars
($1000.00) divided into sharos of Ten
Dollars ($10.00) each, ot which capi
tal stock at least Fifty Dollars ($50.00)
shall bo subscribed and fully paid be
fore the commencement of tho busi
ness of this association, and no stock
holder shall bo allowed to hold or be
the owner of more than ono share.
Tho object and general nature of
the business to bo transacted by this
association, and for which it is being
created shall be to place on public ex
hibition or show, poultry for tho piir
pose of demonstrating and encour
aging poultry breeders to halse a high
or standard ot poultry perfection and
egg productions.

The business and affairs ot this as-
soclaion shall bo managed and direct
ed by a board of directors to bo elected
by tho stock-holders from among their
number and not otherwise, which elec
tlon shall be by ballot, each stock
holder having hut ono vote, and which
election shall be held on the date of
tho organization of this association,
which board of directors shall elect
and choose from their number a Pres-
dent, Vice-President, Secretary and
Treasurer, and all elections for direct
ors thereafter shall be. hold annually
on tho first Saturday of February nt
the offtco of this association.
VII.
Tho Stock-holdors at any annual
or special meeting election may adopt
any by-laws for tho guidance and di
rection ot said board ot directors as
may bo doomed proper by a majority
of tho votes cast at such election, and
a majority of said board of directors
shall constitute a quorum to do busi
ness, and said stock-holders shall bo
entitled to ono vote only and the right
to voto by proxy properly authenti
cated will bo lawful.

Tho board of directors shall havo
tho goiieral management of tho busi
ness ot this assocaton, apd are limit
ed in their authority as to contracting
any Indebtedness over and abovo tho
