RTICLES OF INCORPORATION OF THE JORTII WESTERN CATTLE LOAN AND INVESTMENT COMPANY. We, the undersigned incorporators, or ourselves and others hereafter to e associated with u., do hereby in mrsuance of the statutes of the State if Nebraska, in such cases made and provided, associate ourselves a a body corporate, in the manner nnd for the .urpose of forming an Installment ln cstmrnt Company in accordance with rticle 17, of the 1919 Session Laws. ARTICLE I. Name. Said corporation shall be nnd is hereby named the NORTH WESTERN CATTLE LOAN AND INVESTMENT COMPANY. ARTICLE II. Place of Business. The principal place of business of the corporation shall be in the City of Alliance, Box Butte County, Nebraska ARTICLE III. Nature of Uusinesn. The general nature of the business to be transacted by the corporation is the extension of credit and the loaning of money to and for the benefit of the agricultural and live stock interests of Nebraska. In extending credit and making loans, the corporation may take security, by note and mortgage or otherwise, upon live stock, grain, hay, alfalfa and other farm products, and upon agricultural implements and appliances used for farm purposes. It may take, as additional security, mort gages on farm lands, ranches and other real estate. The corporation may also purchase notes and mortgages heretofore or hereafter executed upon such security. It shall have power and authority to handle, hold, sell, assign, transfer, endorse and guarantee the payment of any and all notes, bonds, mortgages or other obligations, taken, bought or held in the exercise of the powers herein granted. The corpora tion is further authorized nnd em powered to borrow money for corpor ate use; and, to that end. it may execute, endorse and deliver notes, bonds, mortgages, assignments, or other instruments or evidences of in debtedness, and guarantee the pay ment thereof: and it may pledge as security therefor any of the property owned or held by the corporation. The corporation may lease, purchase, own, hold and sell all real and personal property necessary for corporate use. In addition to the powers expressly granted herein, it is the intention to vest in the corporation all the inci dental and implied powers necessary to carry out in a broad and liberal way the purposes of the organization. ARTICLE IV. Capital Stock. The authorized capital stock of the corporation is Fifty Thousand Dollars ($50,000.00) divided into five hundred shares of One Hundred Dollars ($100.00) each. Business may be com menced when two hundred fifty (250) shares have been subscribed and fully paid. Further subscriptions to stock and payments thereon shall be as di rected and ordered by the board. Stockholders shall be liable for the full amount of their unpaid subscriptions. Vhn fully paid for, the stock shall be nonassessable ARTICLE V. Life of Corporation. The corporation shall commence when its Articles of Incorporation have been filed, and it shall terminate on the first day of January, 1946, un less sooner dissolved. ARTICLE VI. Indebtedness. The highest amount of indebtedness or liability to which the corporation shall at any time subject itself shall not exceed an amount equal to two thirds of the capital stock; Provided, however, the above limitation shall not apply to notes, bonds or deben tures where the payment of such notes, bonds or debentures shall be secured by the actual transfer of real estate by trust deed or mortgage; which real estate so transferred shall be of twice the value of the par value of such notes, bonds or debentures; Provided, further, said limitation shall not apply to the guaranty of the cor poration for the payment after trans fer of any such notes, bonds or de bentures, i ARTICLE VII. Bunines now Conducted. The affairs and business of the cor Kration are to be conducted by a board of five directors, and by the officers by them to be elected, and hereinafter provided. The directors may constitute three of their number an executive committee, with power to act. ARTICLE VIII. Annual Meetings Election of Directors. The first meeting of the stockholders shall be held on the 10th day of Janu ary, 1922, and their regular annual meeting shall be held on the 1st Tuesday in February; Provided, how ever, no annual meeting shall be held until February. At the first meeting, and at each annual meeting thereafter, the board of directors shall be elected; to hold office until the annual meeting next after their election and until their successors are elected. ARTICLE IX. Election of Officers. The board of directors shall, as soon as possible after their election, elect from their own number a President, one or more Vice-Presidents, and a Secretary and Treasurer; to hold office until the annual meeting next after their election and until their success ors are elected. One person may hold the offices of Secretary and Treasurer. ARTICLE X. By Laws Vacancies. The board of directors shall have full power and authority to make all rules and by-laws necessary for the proper management and control of the business affairs of the corporation, and tney may alter and amend the same. Vacancies occuring in the board of di rectors shall be filled bv the sWV- holders; and other offices, vacant from whatever cause, shall be filled by the directors. ARTICLE XL Corporate Seal. The rnr norntion hereby adoifs a corporate seal, which shall contain the word-: "NORTHWESTERN CATTLE LOAN AND INVESTMENT COM PANY, CORPORATE SEAL." ARTICLE XII. Amendments. These Articles of Incorporation may be amended by the stockholders at any regular meeting, or secial meeting called for that purpose. A draft of the proposed amendment shall lie sub niittcd to each stockholder with the notice of the meeting to which it Is to be considered, which notice shall be given at least ten ways prior to the date of the meeting. An amendment approved by the holders of two-thirds of the capital stock shall be considered adopted, and be and become a part of the Articles of Incorporation; and the directors, or a majority thereof, shall thereafter subscribe, acknowledge, record nnd publish the same as by law required. Hewitt, receiver for thc Alliance land office, furnishes the fol lowing information relative to the ex tension of time for operations under oil and gas permits given by the government under the act of Febru ary 25, 1920: The act of January, 11, 1922 is as follows: "Be it enacted by the Senate and House of Representatives of the Unit ed States of America in congress as sembled, that the secretary of the in terior may, if he shall find that any oil or gas permit has been unable, with the exercise of diligence, to begin drilling operations or to drill wells of the depth and within the time pre scribed by section 13 of the Act of congress approved February 25, 1920 (forty-first statutes, page 437), ex tend the time for beginning Buch dril ling or completeing it to the amount specified in the act of such time, not exceeding three years, and upon such conditions as he shall prescribe. Any person having an oil and gas permit may secure the extension by filling his affidavit stating what dm gence he has exercised and the reason he is unable to proceed as required by the original permit This affidavit must be corroborated by one disinter eted witness having knowledge of the facts.
