C. W. Jeffers. H. H. Brandt and w.
B. Young, citizens of the United
States, and residing in the State of
Nebraska, do hereby associate our
selves together for the purposes of
forming and becoming a corporation
In the State of Nebraska, for the
purposes of the transacting of the
business hereinafter described.
Article I
The name of this corporation shall
be the ODD FELLOWS BUILDING
ASSOCIATION OF ALLIANCE.
Article II
The principal place of transacting
Us business shall be at Alliance, Box
Butte County. Nebraska, where
meetings of incorporators, stockhold
ers and directors shall be held and
all business transacted.
Article HI
The purposes for which said cor
poration 1b to be formed are as fol
lows:
(a) To provide and own a home
for the Odd Fellows lodgeB, includ
ing the subordinate, Rebekah, En
campment and Canton, of Alliance,
Nebraska, and for such other lodges
as may be desired.
(b) To take, lease, purchase, hire
or otherwise acquire and to hold, use,
sell, lease, exchange, mortgage, im
prove and develop real estate, real
property and any interest or right
therein, and to construct or have con
structed such houses and buildings
as is necessary, and to buy, sell, own,
'ise, manage, operate and lease the
same or similar structures.
(c) To borrow money, with or
without security, and for the repay
ment of the same, to give the obliga
tlons of this corporation with any
necessary or required security, and
to lend money, with or without se
curity, and to do anything whatso
ever necessary, useful, desirable, con
venient, or auxiliary to any of the
purposes of this corporation.
Article IV
(a) The authorized capital stock
of this corporation shall be Ten
Thousand Dollars ($10,000.00). dl
vlded into one thousand (1,000)
shares of the par value of ten dol
lars ($10.00) each.
(b) The amount of capital stock
with which said corporation will be
gin business is one thousand dollars
($1,000.00).
(c) At such time as the Board of
Directors may by resolution direct,
said capital stock shall be paid into
this corporation, either in cash or by
the sale and transfer to it of real or
personal property, contracts, serv
ices, or any other valuable right or
thing for the use and purposes of
said corporation, in payment for
which shares of the capital stock of
"aid corporation may be Issued and
the capital stock so Issued shall
'hereupon and thereby become and
be fully paid up the same an though
paid tor in cash at par, and shall be
non-assessable forever, and the Judg
ment of the directors as to the value
of any property, right or thing ac
quired in exchange for capital stock
shall be conclusive.
. Article V
The existence of this corporation
shall commence on the twenty-first
day of December, 1915, and continue
for a period of fifty (50) years there
after, unless sooner dissolved by a
vote of two-thirds of the stock there
of. Article VI
The highest amount of indebted
ness to which said corporation may
at any time subject itself shall not
exceed two-thirds of the capital
stock.
Article VII
The annual meeting of the stock
holders of this corporation shall be
held on the first Tuesday In January
of each year, beginning with the year
1917. at which meeting the Directors
of the company shall be elected, and
such other lawful business done as
the stockholders shall deem neces
sary and proper.
Article VIII
(a) The officers of said corpora-
tlon shall be a President, Vice-President,
Secretary, and Treasurer. The
ofllcers shall be chosen by the Board
of Directors, and shall hold their of
fice for the period of one year and
until their successors are elected and
qualified. The business of said cor
poration shall be conducted by a
Board of Directors, of whom there
shall be seven. At the annual meet
ing to bo held In January, 1917, four
directors shall be elected for a term
of one year and three for a term of
two years. At the annual meetings
held thereafter directors shall be
elected for terniB of two years, the
necessary number being elected to
fill the expiring terms. Directors
shall be elected from among the
stockholders.
(b) The Directors until the annu
al meeting In January. 1917, or until
their successors nre chosen, shall be

Article IX
These articles of Incorporation may

ten days after such levy; one-heventh
in one year; one-seventh In two

one-seventh in. four years; one-sev
enth in five years; and" one-seventh
in six years; that each of such install
ments except the first shall draw in
terest at the rate of s.c.vru percent
per annum from the time of the levy
aforesaid until the same shall become
delinquent and after the same shall
become delinquent. Interest at the
rate of ten percent per annum shall
be paid thereon as in the case of oth
er special taxes, and such special tax
shall be enforced and collected as in
cases of other general taxes, provided
the entire costs of the construction of
said sidewalks shall be charged to
the real estate benefitted and upon
which said sidewalk abutts, and if
the owners of said property shall pay
the entire amount of said special lax
within ten days from the date here
of, such real estate shall be exempt
Irom any lien or charge thereon.
